Terms of Sale

1. Definitions

  • Provider: Nuben LTD, publisher of the Ekydi platform.
  • Client: the institution (school, association, local authority) subscribing to Ekydi services.
  • Services: access to the Ekydi SaaS platform and its modules (extracurricular activities, canteen, communication, etc.).
  • Users: administrators, teachers, parents and students authorized to use the platform.
  • Data: information entered by the Client and its Users, which remains the Client's property.

2. Ordering and service activation

Access to the Services is subject to the signature of a quote or framework agreement, and acceptance of these Terms of Sale.
Activation takes place as soon as the Client's dedicated space is made available (white-label URL or ekydi.com subdomain).

3. Access, maintenance and support

Ekydi is available in SaaS mode 24/7, excluding interruptions due to maintenance or force majeure.
Nuben LTD undertakes to implement reasonable means to ensure availability, security and technical support.

4. Intellectual property and data

The platform's code, design and features are the exclusive property of Nuben LTD.
The Client remains the owner of all its data and is responsible for their accuracy.
Nuben LTD provides hosting but does not exploit the data for commercial purposes.

5. Authorized use

The Client undertakes to use the platform in accordance with its purpose.
Any abusive use (attempted fraudulent access, unauthorized resale, violation of applicable legislation) may result in immediate suspension of the service without compensation.

6. Pricing and billing

Billing is monthly, based on the number of active students registered in one or more modules and the number of subscribed modules, in accordance with the pricing annex
In the event of termination before the end of the school year, the Client remains liable for an annual billing calculated on the basis of the last month of use × the number of remaining months.

7. Confidentiality and security

Nuben LTD implements security measures in line with industry standards.
Each party undertakes to keep confidential all information exchanged under the contract.
The Client is responsible for managing its access and credentials.

8. Warranties and limitations of liability

Nuben LTD does not guarantee uninterrupted availability or total absence of errors.
Its liability is limited to the amount paid by the Client over the last 12 months.
Nuben LTD shall not be held liable for indirect damages, loss of data or loss of business.

9. Term, termination and suspension

The contract is concluded for a period of one year (school year) and is renewable by tacit agreement.
In the event of a serious breach, Nuben LTD may suspend or terminate the Client's access after written notification.
Any early termination results in the application of the annual clause provided for in the Pricing Annex.

10. Governing law

These Terms of Sale are governed by Mauritian law.
Any dispute will be submitted to the competent courts of Mauritius.
